Welcome to Coterie Executive Network ("Coterie," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, membership community, events, and related services. By applying for membership, joining Coterie, attending any event, or using our platforms, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree, do not use our services or apply for membership.

1. About Coterie

Coterie Executive Network is a private, application-based membership community for ambitious professional women. Membership provides access to virtual programming (weekly office hours, monthly expert calls), in-person experiences (quarterly dinners across five US markets, Coterie House gatherings, and two annual retreats), a private community platform, a member directory, and intentional introductions facilitated by the founder.

2. Membership Eligibility and Application

Membership in Coterie is by application only. We reserve the right to accept or decline any application at our sole discretion. Coterie is designed for professional women who meet our community standards and align with the values and mission of the network. Acceptance is not guaranteed.

By submitting an application, you represent that all information provided is accurate and complete. Providing false or misleading information may result in denial of your application or termination of your membership.

3. Membership Fees and Payment

Membership fees are billed on a recurring basis through Stripe, our third-party payment processor. By joining Coterie, you authorize recurring charges to your selected payment method at the applicable membership rate.

Membership fees are non-refundable except as expressly stated in these Terms or as required by law. If your payment fails, we may suspend your access to membership benefits until payment is resolved.

We reserve the right to change membership fees with reasonable advance notice. Any fee changes will be communicated to members before the next billing cycle in which the change takes effect.

4. Membership Benefits

As a member in good standing, you receive access to:

  • Weekly virtual office hours with the founder
  • Monthly virtual expert calls with guest speakers
  • Quarterly in-person dinners held across five US markets
  • Coterie House gatherings at private venues
  • Two annual retreats, included in your membership (travel and accommodations are the member's responsibility unless otherwise stated)
  • Access to the private Circle community and Instagram group
  • Inclusion in the member directory
  • Intentional introductions and connections facilitated by the founder

Event schedules, locations, speakers, and formats are subject to change. We will provide reasonable notice of any material changes. Coterie does not guarantee a specific number of events in any given period.

5. Cancellation and Termination

Cancellation by you: You may cancel your membership at any time by contacting us directly. Upon cancellation, your membership benefits will continue through the end of your current paid billing period. No prorated refunds will be issued for partial billing periods.

Termination by Coterie: We reserve the right to suspend or terminate your membership at any time, with or without cause, if we determine in our sole discretion that your continued membership is not in the best interest of the community. In the event of termination by Coterie without cause, we will issue a prorated refund for the remaining portion of your current billing period.

6. Member Conduct

Coterie is built on trust, respect, and confidentiality. As a member, you agree to:

  • Treat all members, staff, speakers, and guests with professionalism and respect
  • Maintain the confidentiality of conversations, strategies, and personal information shared within Coterie spaces — what is shared in the room stays in the room
  • Refrain from soliciting, pitching, or selling to other members unless a mutual business relationship has been established organically or through a founder-facilitated introduction
  • Not share, distribute, or reproduce content from office hours, expert calls, retreats, or the community platform without written permission
  • Represent yourself and your business honestly
  • Not engage in harassment, discrimination, bullying, or any behavior that creates a hostile or uncomfortable environment for other members

Violation of these conduct standards may result in a warning, suspension, or immediate termination of your membership, at our sole discretion.

7. Confidentiality

A core value of Coterie is that members can speak openly and vulnerably. By joining, you agree that all discussions, business strategies, financial details, and personal matters shared within any Coterie space — virtual or in-person — are strictly confidential. You may not disclose, share, or reference another member's contributions or personal information outside of Coterie without their explicit written consent.

8. Intellectual Property

All content created by or on behalf of Coterie — including but not limited to event materials, frameworks, guides, presentations, branding, logos, website content, and community content posted by Coterie — is the intellectual property of Coterie Executive Network and may not be reproduced, distributed, or used without written permission.

Content you post within the community platform remains yours, but you grant Coterie a non-exclusive, royalty-free license to use, display, and share your contributions within the Coterie community and for promotional purposes (such as anonymized testimonials), unless you notify us otherwise.

9. Events and Travel

Coterie hosts in-person events in multiple US markets. Members are responsible for their own travel, transportation, and accommodation costs associated with attending events, unless otherwise specified for a particular event.

By attending an event, you acknowledge that:

  • Coterie is not responsible for travel disruptions, cancellations, or expenses incurred due to event changes
  • We may capture photos and video at events for use in Coterie marketing materials. If you prefer not to be featured, please notify us in advance
  • You assume any personal risk associated with travel and attendance at in-person gatherings

If Coterie cancels an event, we will make reasonable efforts to reschedule or provide an alternative experience. Coterie is not liable for non-refundable travel expenses incurred by members due to event cancellations.

10. Photo and Media Release

By attending Coterie events and participating in our community, you grant Coterie Executive Network permission to use photographs, video recordings, and testimonials featuring you for marketing, promotional, and community purposes across our website, social media, and other channels. If you wish to opt out of media usage, please notify us in writing prior to the event or at any time thereafter, and we will make reasonable efforts to accommodate your request.

11. Disclaimers

Coterie provides a community, connections, and educational programming. We do not provide legal, financial, tax, or investment advice. Any information shared during office hours, expert calls, retreats, or within the community is for educational and informational purposes only. You are solely responsible for your own business and financial decisions.

Guest experts and speakers invited to Coterie events express their own views and opinions. Coterie does not endorse, guarantee, or assume liability for any advice, recommendations, or services offered by guest speakers or other members.

Coterie makes no guarantees regarding specific business outcomes, revenue, or results from membership.

12. Limitation of Liability

To the fullest extent permitted by law, Coterie Executive Network, its founder, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your membership, use of our services, attendance at events, or reliance on information provided through Coterie, regardless of the cause of action.

Our total liability for any claim arising out of or related to these Terms or your membership shall not exceed the total membership fees you have paid to Coterie in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Coterie Executive Network, its founder, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your membership conduct, or your use of our services.

14. Dispute Resolution

Any dispute arising out of or related to these Terms or your Coterie membership shall first be addressed through good-faith informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, it shall be resolved through binding arbitration in Orange County, California, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs and attorneys' fees.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Orange County, California.

16. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify members via email or through our community platforms. Your continued membership after such notice constitutes acceptance of the updated Terms. If you do not agree with any changes, you may cancel your membership as described in Section 5.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coterie Executive Network regarding your membership and use of our services. These Terms supersede any prior agreements, understandings, or representations.
